This Trailer Rental Agreement ("Agreement") is entered into by and between JRH Trailer & Transport LLC dba JH Trailer Rental ("Company," "we," "us," or "our") and the renter identified on the rental form, invoice, reservation, or face page ("Renter," "you," or "your"). By signing, accepting, paying for, checking an agreement box, or taking possession of the Trailer, you agree to all terms and conditions below.
1. Definitions
"Agreement" means these Terms and Conditions, the rental form, invoice, reservation, signed acknowledgment, payment authorization, and any addenda or documents provided at the time of rental. "You" or "your" means the renter, any person signing or accepting this Agreement, any Authorized Driver, and any person or organization responsible for payment. All persons included as "you" or "your" are jointly and severally responsible for all obligations under this Agreement. "Authorized Driver" means the renter and any additional driver approved by us. Every Authorized Driver must have a valid driver license and be legally permitted to tow the Trailer. "Trailer" means the rented trailer and all related equipment and accessories provided with it, including tires, wheels, axles, hubs, bearings, brakes, lights, wiring, coupler, jack, safety chains, fenders, decking, ramps, locks, straps, spare tire, winch, registration plate, GPS/tracking device, and any other equipment provided by us. "Rental Period" begins when you take possession of the Trailer and continues until the Trailer is returned to us, inspected, and checked in by us. "Loss of Use" means the loss of our ability to rent, use, display, transport, sell, repair, or otherwise make the Trailer available due to damage, theft, loss, impound, recovery, investigation, repair, insurance processing, or non-return. Loss of Use may be calculated by multiplying the daily rental rate by the number of days the Trailer is unavailable. "Diminished Value" means the reduction in market value of the Trailer after damage, repair, accident history, misuse, or loss, even if repairs are completed.
2. Rental Property and Use
This is a contract for rental of the Trailer. You represent that the tow vehicle, hitch, ball size, wiring, brake controller if required, mirrors, tires, and towing capacity are proper and safe for the Trailer and load. You are responsible for properly connecting the Trailer, securing the coupler, using safety chains, connecting lights and brakes if applicable, checking tires, balancing the load, and securing all cargo before and during towing.
3. Rental Insurance Required
You are solely responsible for maintaining insurance coverage for the tow vehicle, the Trailer while in your possession, all cargo, all drivers, and all third-party claims arising out of the rental, towing, loading, unloading, possession, or use of the Trailer. Your insurance is primary. We do not provide liability insurance, collision insurance, comprehensive insurance, cargo insurance, personal injury coverage, property damage coverage, or any other insurance coverage for your benefit. Any insurance carried by us is solely for our own protection and does not reduce, waive, or limit your responsibility under this Agreement. You agree that you have confirmed with your own insurance carrier that your policy covers the rented Trailer, towing activity, liability, property damage, physical damage to the Trailer, cargo, and your intended use. If your insurance denies coverage, limits coverage, excludes coverage, delays payment, or pays less than the full amount owed, you remain personally responsible for the full balance.
4. Responsibility for Damage, Loss, Theft, and Costs
You are responsible for any and all damage to, loss of, or theft of the Trailer during the Rental Period, regardless of fault, cause, weather, road conditions, accident, improper loading, improper towing, theft, vandalism, acts of God, mechanical damage caused by use, or actions of any third party. Your responsibility includes, but is not limited to, damage to tires, wheels, axles, hubs, bearings, brakes, lights, wiring, ramps, jack, coupler, safety chains, fenders, frame, deck/floor, paint, registration plate, locks, straps, spare tire, winch, GPS/tracking device, and accessories. You agree to pay all amounts resulting from damage, loss, theft, misuse, late return, abandonment, impound, recovery, or failure to return the Trailer. Amounts owed may include repair costs, replacement costs, parts, labor, towing, storage, impound fees, recovery fees, cleaning fees, administrative fees, insurance deductibles, insurance shortfalls, collection costs, attorney fees, court costs, diminished value, and loss of use. Ordinary wear does not include tire damage, wheel damage, bent axles, broken lights, damaged wiring, missing parts, impact damage, overload damage, improper loading damage, jackknife damage, coupler damage, fender damage, deck damage, excessive dirt, debris, or damage caused by unsafe towing.
5. Payment Card Authorization
Payment authorization is part of this Agreement. You authorize JRH Trailer & Transport LLC dba JH Trailer Rental to keep your payment card on file through our payment processor or rental software and to charge any card provided by you for all amounts owed under this Agreement. This authorization includes rental charges, payment holds, late fees, cleaning fees, tolls, citations, damage charges, repair estimates, final repair invoices, replacement costs, insurance deductibles, insurance shortfalls, loss of use, diminished value, towing, storage, recovery fees, administrative fees, collection costs, attorney fees, and any other charges arising from your rental. We may charge your card based on a reasonable repair estimate and may later charge or refund the difference after final invoices are received. If your card is declined, disputed, charged back, expired, cancelled, or otherwise unavailable, you remain fully responsible for all amounts owed. All charges are subject to a final audit and may be adjusted.
6. Return of Trailer and After-Hours Return
You must return the Trailer on time, to the agreed return location, and in the same condition received, except for ordinary wear. If the Trailer is returned after hours or without being checked in by us, you remain responsible for the Trailer, including loss, theft, and damage, until we inspect and check in the Trailer during our next business opening. You are responsible for removing all cargo, trash, debris, and personal property before return. We are not responsible for any personal property left in or on the Trailer.
7. Late Return, Repossession, and Failure to Return
Late returns may be charged at the applicable daily rental rate or any higher rate stated in the rental record, and partial days may be charged as full days. If the Trailer is not returned when due, is abandoned, is used in violation of law or this Agreement, is taken outside the agreed rental area without permission, or if we reasonably believe the Trailer is at risk of loss or damage, we may recover or repossess the Trailer without notice where permitted by law. You are responsible for all costs related to recovery or repossession, including towing, storage, labor, mileage, locksmith fees, third-party recovery charges, administrative costs, attorney fees, and any damage discovered after recovery. If the Trailer is not returned when due and you fail to communicate with us or make acceptable arrangements, we may treat the Trailer as wrongfully retained and may report it as stolen.
8. Prohibited Uses
You may not overload the Trailer; use it off-road; use it for any unlawful purpose; transport hazardous, illegal, or prohibited materials; carry passengers in or on the Trailer; sublease, loan, or transfer possession of the Trailer; tow with an improperly rated or unsafe vehicle; tow while impaired by alcohol, drugs, medication, fatigue, or distraction; allow an unauthorized, unlicensed, or uninsured driver to tow; fail to properly secure cargo; improperly distribute load weight; modify, alter, paint, mark, or attach anything to the Trailer; remove or tamper with plates, locks, GPS/tracking devices, or equipment; abandon the Trailer; take it outside the agreed rental area without written permission; continue using it when you know or should know that further use may cause damage; tow through or under any structure without sufficient height or side clearance; or use the Trailer in any manner that violates manufacturer ratings, laws, posted limits, or reasonable safety practices. Any prohibited use is a material breach of this Agreement and does not reduce your responsibility for damage, loss, theft, claims, or charges.
9. Accidents, Damage, Theft, or Breakdown
You must immediately notify us of any accident, damage, theft, vandalism, breakdown, tire issue, wheel issue, lighting issue, citation, impound, police contact, insurance claim, or other incident involving the Trailer. You must notify police when required by law or when there is an accident, theft, vandalism, injury, or third-party property damage. You may not authorize repairs, replacement parts, towing, or service work on the Trailer without our prior approval, except in an emergency where immediate action is necessary to prevent further damage or injury. You agree to cooperate with us, our insurer, your insurer, law enforcement, repair providers, and any claims investigation.
10. Accessories and Missing Equipment
The Trailer may be provided with accessories or equipment, including straps, ramps, locks, spare tire, winch, jack, safety chains, hitch lock, or other items listed in the rental record. You are responsible for returning all accessories and equipment in the same condition received, except for ordinary wear. Missing or damaged accessories may be charged to your payment card at replacement cost, plus related labor, shipping, tax, administrative cost, or loss of use.
11. Tolls, Tickets, Fines, and Violations
You are responsible for all tolls, citations, parking tickets, impound charges, traffic violations, penalties, and administrative fees arising during the Rental Period or related to your use, possession, towing, or failure to return the Trailer. You authorize us to charge your payment card for any such amounts and related processing or administrative fees.
12. GPS and Tracking
The Trailer may be equipped with GPS, telematics, or tracking technology. You consent to the use of such technology for locating, recovering, protecting, and managing the Trailer. You may not remove, disable, block, damage, or tamper with any tracking device. Any such action is a material breach of this Agreement and may result in additional charges.
13. Indemnification and Hold Harmless
You agree to defend, indemnify, and hold harmless JRH Trailer & Transport LLC dba JH Trailer Rental, its owners, members, employees, agents, contractors, insurers, and representatives from any and all claims, demands, damages, injuries, losses, lawsuits, fines, penalties, attorney fees, and costs arising out of or related to your rental, possession, towing, loading, unloading, use, misuse, accident, damage, loss, theft, abandonment, or failure to return the Trailer. This obligation applies regardless of whether the claim is made by you, a passenger, another driver, a property owner, an injured person, an insurance company, a government agency, or any other third party.
14. No Warranties and Limitation of Liability
The Trailer is rented "as is." We make no warranties, express or implied, including no warranty of merchantability and no warranty that the Trailer is fit for a particular purpose. You are responsible for determining whether the Trailer is appropriate for your intended use and whether your tow vehicle, hitch, wiring, brake controller, insurance, cargo, and driving ability are suitable. We are not responsible for injury, death, cargo loss, property damage, lost profits, delays, breakdowns, accidents, towing issues, insurance denial, or consequential damages arising out of or related to your rental or use of the Trailer, except where prohibited by law.
15. Collection and Enforcement
If you fail to pay any amount owed under this Agreement, you agree to pay all costs of collection and enforcement, including reasonable attorney fees, court costs, collection agency fees, repossession costs, recovery costs, and administrative expenses.
16. Modification, Waiver, Severability, and Governing Law
No term of this Agreement may be waived or modified unless in writing and signed by us. Our acceptance of payment, failure to enforce a term, or delay in enforcing a term does not waive our right to enforce this Agreement later. If any provision of this Agreement is found invalid or unenforceable, the remaining provisions remain valid and enforceable. This Agreement is governed by the laws of the State of Michigan.
17. Entire Agreement
This Agreement, the rental form, invoice, reservation, face page, and any signed addenda constitute the entire agreement between you and JRH Trailer & Transport LLC dba JH Trailer Rental. No verbal statement, promise, or prior agreement changes this Agreement. Any waiver or modification must be in writing and signed by Company.
Renter Acknowledgment
By signing, checking the agreement box, paying for the rental, or taking possession of the Trailer, you acknowledge and agree that: (a) you have read and understand this Agreement; (b) you are responsible for your own insurance; (c) your insurance is primary; (d) we do not provide insurance for your benefit; (e) you are responsible for any and all damage, loss, theft, claims, repairs, replacement costs, loss of use, diminished value, and related expenses during the Rental Period; (f) payment authorization is part of this Agreement and you authorize us to charge your payment card for amounts owed under this Agreement; (g) you are responsible for safe towing, proper loading, cargo securement, and legal use of the Trailer; and (h) you agree to return the Trailer on time and in the same condition received, except for ordinary wear.
